1. Acceptance of Terms

By creating an account or using Finchly ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. These terms form a binding agreement between you and Finchly LLC ("Finchly," "we," "us," or "our").

2. Description of Service

Finchly is an AI-powered SMS reminder platform. You may use the Service to schedule reminders delivered via text message to your verified phone number. Features include AI-assisted reminder creation, scheduling, motivational messages, and two-way SMS management. Finchly is intended for personal, non-commercial use only. Use of the Service for business operations, commercial messaging, or on behalf of an organization is not permitted.

3. Artificial Intelligence Features

Finchly uses AI to power several features, including reminder parsing and note assistance. By using these features, you acknowledge and agree to the following:

  • Notes AI. When you use the AI actions in Notes (Summarize, Continue, Improve, or Extract Tasks), the text content of your note is transmitted to Anthropic, a third-party AI provider, for processing. Only the note text you explicitly submit for AI analysis is sent — not your account information or other notes.
  • Reminder parsing. When you create a reminder using natural language, your input is sent to Anthropic to extract scheduling details. Raw message content is classified locally before being sent; sensitive personal details are not required for this feature to work.
  • Sensitive data. Do not include passwords, financial account numbers, government ID numbers, medical records, or other sensitive personal information in notes or reminders you intend to process with AI features.
  • AI output accuracy. AI-generated results (summaries, continuations, extracted tasks, parsed reminders) are provided for convenience and may contain errors or omissions. Always review AI output before acting on it.
  • Third-party data handling. Data sent to Anthropic is governed by Anthropic's Privacy Policy. Finchly does not sell your note content or use it to train AI models.
  • No AI retention. Finchly requests Zero Data Retention on the Anthropic API where available, meaning submitted content is not stored by Anthropic beyond what is required to generate the response.

4. SMS Consent & TCPA Compliance

By providing your phone number and checking the consent box at signup, you expressly consent to receive automated text messages from Finchly at the number provided, including reminders, notifications, and service messages. Message frequency varies based on your reminder settings.

  • Consent is not a condition of purchase.
  • Mobile opt-in data and consent will not be shared with any third parties or affiliates for marketing purposes.

5. Credits & Billing

Finchly operates on a prepaid credit system billed monthly via Stripe. One credit equals one outbound SMS sent. Credits reset on your monthly billing date and do not roll over. Unused credits expire at the end of each billing period.

  • When your credits reach zero, all reminders are paused immediately.
  • You will receive one free notification when your account is frozen.
  • Credits are restored when your billing renews.
  • Subscriptions renew automatically until cancelled.
  • You may cancel at any time via the billing portal — cancellation takes effect at the end of the current period.
  • No refunds are issued for unused credits or partial billing periods.

6. No Guarantee of Delivery

Finchly does not guarantee the delivery, timeliness, or reliability of any SMS message. Delivery depends on factors outside our control including carrier networks, device availability, and phone number validity. Do not rely on Finchly for time-critical, safety-critical, or life-dependent reminders.

7. Not a Medical Device

Finchly is not a medical device, healthcare provider, or clinical service. Nothing in the Service constitutes medical advice. Do not use Finchly as your sole means of managing medications, medical appointments, or health-critical tasks. Always maintain independent methods for managing your health.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Send reminders to phone numbers without the recipient's consent.
  • Attempt to circumvent credit limits, billing, or authentication.
  • Use the Service to harass, threaten, or abuse others.
  • Impersonate any person or entity.
  • Interfere with the operation of the Service.
  • Use the Service for business, commercial, or organizational purposes — Finchly is for personal use only.

9. Intellectual Property

All content, trademarks, and software associated with Finchly are owned by Finchly LLC. You may not reproduce, distribute, or create derivative works without our express written permission. FINCHLY is a trademark of Finchly LLC.

10. Limitation of Liability

To the maximum extent permitted by law, Finchly's total liability for any claims arising from your use of the Service is limited to the greater of (a) the amount you paid to Finchly in the twelve months preceding the claim, or (b) $10.00. Finchly is not liable for any indirect, incidental, special, or consequential damages.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

12. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. You may terminate your account at any time by cancelling your subscription and contacting us.

13. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via email or SMS. Continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Wyoming.
